These Terms are a contract between Vista Ventures Holding INC., a Delaware corporation, 16192 Coastal Hwy, Lewes, DE 19958, United States (“Rai2nbow”, “we”), and the business that signs up (“the Customer”, “you”). Whoever accepts them confirms they may bind that business.
1. The Service
Rai2nbow is software for businesses that sell with cash on delivery. On your behalf it confirms orders and talks with your buyers by WhatsApp message, WhatsApp call, phone call and text message, using AI agents and your own operators, and shows the results in a console. It is for businesses only, not for consumers.
2. Accounts
- 2.1Console logins are personal. You keep them safe and answer for everything done with your staff's logins.
- 2.2Tell us at once at support@rai2nbow.com if you suspect a login is being misused.
3. Your WhatsApp Business account
- 3.1You connect your own WhatsApp Business account through Meta's signup. You remain its owner, with its phone numbers, display names and message templates.
- 3.2By connecting it, you let us manage it and send and receive messages and calls through it on your behalf, only to provide the Service.
- 3.3You can disconnect us at any time, in your Meta business settings or in our console. The Service then stops for that account.
- 3.4You accept Meta's WhatsApp Business Terms of Service and follow Meta's WhatsApp Business Messaging Policy, Commerce Policy and any other Meta policy that applies to you.
- 3.5Meta is a third party. It is not part of these Terms, and we do not answer for its decisions, such as limits, quality ratings, template rejections, prices or restrictions on your account.
- 3.6You keep enough credits for the service you use. We pay Meta's charges for your messages and calls, through a payment method we add to your WhatsApp Business account or through our credit line, and take them from your credits as section 7 sets out. You give us the billing access this needs and do not add your own payment method to that account.
4. Your responsibilities
- 4.1Opt-in. Before the first WhatsApp message or call to a person, you get that person's agreement to receive WhatsApp messages and calls from your business, named. You keep proof of it. We treat every person you send us as having given it.
- 4.2Opt-out. You honour every request to stop, on every channel. The Service records stop requests and will not contact that person again for you.
- 4.3Products and claims. You sell only products, and make only claims, that are lawful in each market you sell in and allowed by Meta's Commerce Policy.
- 4.4Templates. You file every message template under its true category.
- 4.5Disclosures. You choose, per market, how the Service tells buyers about AI agents and call recording, and you answer for meeting each market's rules. You also keep a published privacy notice for your buyers and a WhatsApp business profile with a support contact (email, website or phone), as Meta requires.
- 4.6AI use. You use the AI agents only for your own order confirmation, customer service and sales, and you let a buyer reach a person whenever they ask. We never use your chats or calls to improve the AI for another customer.
- 4.7Lawful use. No spam, harassment or deception, and no attempt to reach other customers' data or to disrupt the Service.
5. Your buyers' data
- 5.1You decide what happens to the personal data of your buyers that you or Meta give us (“Customer Data”). We handle it only to provide the Service to you, following these Terms and your console settings, which are your instructions.
- 5.2We do not sell Customer Data, do not use it for advertising, and do not use one customer's data for another customer.
- 5.3Customer Data is kept in your own isolated space on servers in Germany. Its personal fields are encrypted with keys that belong to your space alone.
- 5.4We use the providers named in our Privacy Policy. We tell you 30 days before adding or replacing one; if you object, you may end the contract.
- 5.5Our staff see Customer Data only to support you or to keep the Service secure, and are bound to confidentiality.
- 5.6We tell you without undue delay if Customer Data is lost, leaked or accessed without authority, and help you deal with it.
- 5.7We help you answer your buyers' requests to see, correct or delete their data. If such a request reaches us directly, we pass it on to you.
- 5.8We keep Customer Data for the periods in our Privacy Policy, or for shorter ones you set.
- 5.9When the contract ends, we stop processing, give you a copy of your order data on request, and delete the rest within 30 days, except what the law requires us to keep.
6. Protecting the shared Service
- 6.1We may pause sending from a phone number when Meta lowers its quality rating or restricts it.
- 6.2We may suspend your access if you breach these Terms or Meta's policies, if your use puts the Service or other customers at risk, or if Meta, a court or an authority requires it. If Meta asks us to stop serving you, we may suspend or end the Service at once. When Meta asks for our list of customers, we may give it your business name and contact details.
- 6.3We tell you why, and where we can, we give you the chance to fix the problem first.
7. Fees
You pay for the service with credits bought in advance: a prepaid balance in euros, US dollars or pounds sterling, in the billing currency of your WhatsApp Business account. You top up by card, processed by Stripe, or by bank transfer; the minimum top-up is 20 in that currency. Each WhatsApp message we send for you that Meta charges for costs Meta's rate plus 20%; messages you receive cost nothing. Each call minute costs the rate in your order form, billed per 6 seconds. Your plan includes 5 seats; each extra seat costs 20 a month in your currency. These prices include Meta's charges, which we pay for your account. New messages and calls pause when your balance reaches zero. Credits do not expire while your account is open. When these Terms end, we refund your unused credits on request, minus payment fees. Fees exclude taxes.
8. Intellectual property
We own the Service and its software. You own your data and your content, and give us the rights we need to provide the Service. We may use your suggestions to improve the Service.
9. Changes to the Service
We improve the Service over time and may change it, including to follow changes to Meta's platform. We tell you in advance of any change that reduces what you get.
10. Liability
- 10.1The Service is provided “as is”, without warranties beyond those these Terms state.
- 10.2Neither party is liable for indirect or consequential loss, or for lost profits. We are not liable for actions Meta takes on your accounts.
- 10.3Our total liability is capped at the fees you paid us in the 12 months before the claim.
- 10.4Nothing in these Terms limits liability that the law does not allow to be limited.
11. Indemnity
You hold us harmless against claims by third parties that arise from your products, your content, contacting people without a valid opt-in, or your breach of Meta's policies.
12. Term and ending
These Terms run until either party ends them with 30 days' written notice. Either party may end them at once if the other materially breaches them and does not fix the breach within 15 days of notice. Section 5.9 applies when they end.
13. Law and courts
These Terms are governed by the laws of the State of Delaware, United States. Disputes go to the state and federal courts in Delaware.
14. Changes to these Terms
We may update these Terms with 30 days' notice, by email and on this page. Using the Service after that date means you accept the update.
